2SETTLE TERMS & CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the 2Settle website, applications, APIs and related products and services (collectively, the “Services”).
The Services are provided by The 2Settle Ltd, with an address at 690 Idris Gidado Street, Wuye, Abuja, Nigeria (“2Settle”, “we”, “us” or “our”).
By creating an account, clicking “I Agree”, initiating a transaction, accessing or using the Services, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree, you must not use the Services.
1. About 2Settle
2Settle provides technology and transaction infrastructure that enables users to initiate transactions using supported digital assets and facilitates settlement to designated recipients through supported settlement methods.
Depending on the transaction, 2Settle may engage or integrate with banks, payment providers, liquidity providers, technology providers, financial institutions and other service providers (“Settlement Providers”) to facilitate, process or complete transactions.
2Settle is not a bank, and use of the Services does not create a bank account or deposit relationship between you and 2Settle.
Nothing provided through the Services constitutes investment, financial, legal or tax advice.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
You must provide accurate, current and complete information and complete any verification reasonably required by 2Settle.
Businesses and organizations may be required to provide additional information concerning incorporation, ownership, directors, beneficial owners, operations and transaction activity.
You may not use the Services if doing so would violate applicable law or any restriction imposed upon you.
3. Account and Security
You are responsible for maintaining the confidentiality and security of your account, authentication credentials, devices and wallets.
You must promptly notify us at support@2settle.io if you suspect unauthorized access to or use of your account.
You are responsible for ensuring that information submitted through your account is accurate.
2Settle may implement authentication, transaction confirmation and other security measures considered reasonably necessary to protect users and the Services.
4. Verification and Compliance
2Settle may conduct identity, business, transaction and compliance checks before, during or after a transaction.
These may include KYC, KYB, anti-money laundering checks, sanctions screening, fraud prevention, transaction monitoring and source-of-funds or source-of-wealth verification.
We may request additional information concerning the sender, recipient, wallet, beneficiary, transaction purpose or source and destination of funds.
Failure to provide requested information may result in a transaction being delayed, rejected, restricted or cancelled, or access to the Services being suspended.
5. Supported Digital Assets and Networks
Only digital assets and blockchain networks identified by 2Settle as supported at the time of a transaction should be used.
You are responsible for verifying the:
- digital asset;
- blockchain network;
- wallet address;
- amount; and
- other transaction information.
Sending an unsupported asset, using an incorrect or unsupported network, or transferring assets to an incorrect address may result in permanent loss.
Blockchain transactions are generally irreversible.
2Settle does not guarantee recovery of incorrectly transferred assets.
Where recovery is technically and operationally possible, 2Settle may attempt recovery and may charge reasonable network, provider, administrative or recovery costs.
6. Rates and Quotes
Rates may fluctuate based on market conditions, digital-asset prices, foreign-exchange rates, liquidity and other relevant factors.
Where a transaction quote is provided, its applicable rate, fees, settlement amount and validity period may be displayed before confirmation.
Indicative rates do not constitute a guaranteed transaction rate.
Where a quote expires before the required asset is received or sufficiently confirmed, 2Settle may provide a new quote or calculate the transaction using the then-applicable rate.
By proceeding with a transaction after being presented with its applicable rate and charges, you accept those transaction terms.
7. Fees
2Settle may charge transaction, settlement, conversion, processing, network or other applicable fees.
Applicable 2Settle fees will be displayed or communicated before transaction confirmation where practicable.
Additional charges imposed by blockchain networks, banks, Settlement Providers or other third parties may apply.
8. Transaction Processing
Transactions may progress through stages including:
Pending → Confirming → Settling → Paid
Pending: The transaction has been initiated but the required payment or blockchain transaction may not yet have been sufficiently detected.
Confirming: The relevant blockchain transaction is being verified or awaiting required confirmations.
Settling: The transaction has progressed to the recipient settlement process.
Paid: The settlement instruction has been completed through the applicable settlement channel.
Other statuses may be used for transactions that expire, fail, require review or otherwise cannot follow the standard flow.
9. Recipient Information
You are responsible for providing and confirming correct recipient information.
This may include the recipient’s name, financial institution, account number and other settlement details.
Where 2Settle completes a transaction according to information provided or confirmed by you, 2Settle is not responsible for losses resulting from inaccurate recipient information supplied by you, except where the loss results directly from an error attributable to 2Settle.
10. Settlement
Settlement times shown by 2Settle are estimates unless expressly stated otherwise.
Settlement may be affected by blockchain confirmations, liquidity availability, bank or provider downtime, compliance reviews, transaction size, network congestion or circumstances beyond 2Settle’s reasonable control.
2Settle may use one or more Settlement Providers to facilitate a transaction.
The infrastructure used may vary according to transaction type, size, currency, asset, destination, liquidity, risk, availability and compliance requirements.
11. Transaction Limits
2Settle may impose minimum and maximum transaction limits.
Limits may differ based on verification level, transaction history, jurisdiction, asset, settlement method, liquidity, risk assessment, regulatory requirements and provider limitations.
Additional verification may be required before transactions exceeding certain thresholds are processed.
12. Cancellations and Refunds
Blockchain transfers are generally irreversible.
A transaction ordinarily cannot be cancelled after the digital asset has been transferred and processing has commenced.
Where settlement has not occurred and cancellation remains technically and operationally possible, 2Settle may consider a cancellation or refund request in accordance with the Crypto Transaction, Cancellation & Refund Policy.
13. Prohibited Activities
You must not use 2Settle for unlawful, fraudulent or abusive activity, including money laundering, terrorist financing, sanctions evasion, fraud, scams, stolen assets, unauthorized transactions or transactions involving unlawful goods or services.
You must not attempt to circumvent security, compliance, verification or transaction controls.
2Settle may reject, restrict, investigate or suspend transactions reasonably suspected of violating these Terms or applicable law.
14. Suspension and Termination
2Settle may restrict, suspend or terminate access where reasonably necessary because of suspected fraud or unlawful activity, compliance requirements, security concerns, breach of these Terms, false information, sanctions requirements, abuse of the Services or material risk to 2Settle, its users or providers.
Where legally and operationally permitted, reasonable steps will be taken to resolve legitimate outstanding transactions.
15. Digital Asset Risk
Digital assets involve significant risk.
Prices may fluctuate rapidly. Blockchain transactions may be irreversible. Networks may experience congestion, forks, failures or other disruptions.
2Settle does not guarantee the value or future performance of any digital asset.
16. Service Availability
We aim to maintain reliable Services but do not guarantee uninterrupted or error-free availability.
Maintenance, security incidents, blockchain conditions, internet outages, banking infrastructure, provider outages or other events may temporarily affect availability.
17. Limitation of Liability
To the maximum extent permitted by applicable law, 2Settle shall not be liable for indirect, incidental, special or consequential losses resulting from use of the Services.
This includes losses attributable to market movements, incorrect information supplied by users, unsupported transfers, blockchain failures, third-party outages or circumstances beyond our reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
18. Privacy
Personal information is processed in accordance with the 2Settle Privacy Policy and applicable data-protection requirements.
19. Intellectual Property
The 2Settle name, software, interfaces, trademarks, designs, content and related intellectual property belong to 2Settle or their respective licensors.
No ownership rights are transferred to you through your use of the Services.
20. Changes
2Settle may modify its Services, supported assets, networks, settlement methods, limits, fees or these Terms.
Where required, material changes will be communicated to users.
Continued use following the effective date of updated Terms constitutes acceptance, subject to applicable law.
21. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
Parties shall first attempt in good faith to resolve disputes through communication with 2Settle.
Unresolved disputes may be referred to an appropriate dispute-resolution mechanism or court having jurisdiction under Nigerian law.
22. Electronic Acceptance
No physical signature is required.
Creating an account, selecting “I Agree”, initiating a transaction or otherwise using the Services after being presented with these Terms constitutes acceptance of and agreement to be bound by them, to the extent permitted by applicable law.
